Florida entities are formed through the Florida Department of State, Division of Corporations, better known as Sunbiz, and that filing is only the first of several registrations a Miami business needs. Once the entity exists, most owners in Miami-Dade and Broward still have to request a FEIN, open a local business tax receipt with the county and the city, and check whether their trade needs a state license. Many of our clients are family-owned businesses or owners who arrived from Latin America and want to understand what each Florida filing actually means before they sign it.

You choose the entity, check the name on Sunbiz and file articles of organization or incorporation with the Florida Department of State. After that come the FEIN, the county and city business tax receipts and any state license your trade requires. Overthink prepares each step with you, in the order the agencies expect.

A proposed name and one or two alternatives, the names and addresses of the owners, a Florida business address and a decision about who will act as registered agent. If you already have a lease or a partnership agreement, bring it too.

The Sunbiz record creates the entity, but operating in Miami-Dade or Broward usually also requires a FEIN, a county and city business tax receipt and, in regulated trades, a state license. We map those steps for you on the business licenses and permits side once the formation is done.
Florida does not limit ownership of an LLC or corporation to residents, so the formation itself is usually the simpler part. The federal tax ID that follows has its own path for owners without a Social Security number, which we cover on the EIN number application page. We explain both parts in your first conversation.
