Which documents does a Florida company need to keep?

At a minimum the formation documents and annual reports filed with Sunbiz, the operating agreement or bylaws, records of ownership and major decisions, the FEIN letter, tax returns, licenses and key contracts. The exact list depends on your entity type and industry, and we build it with you.

How is this different from a financial audit?

A financial audit tests numbers and transactions. A documentation audit checks the legal and administrative records of the company: whether they exist, are current, agree with each other and are properly stored. When you need both, our internal audit services cover the numbers.

What do I need to bring?

Whatever you have, in whatever state it is in: folders, PDFs, emails with attachments and access to your Sunbiz and agency accounts. Part of the work is finding out what is missing, so incomplete is a normal starting point.

What if my Sunbiz record does not match my operating agreement or my bank?

This is the most common finding: an officer who left years ago still listed, an old address, or ownership percentages that differ between documents. Banks, lenders and buyers in Miami-Dade and Broward notice these first. We list each inconsistency and fix the public record through the Florida annual report or an amendment, and the private documents through the appropriate update.

What does a buyer or lender ask for in due diligence?

Typically the formation and ownership documents, agreements and minutes, tax returns and financial statements, licenses and permits, key contracts and leases, and evidence that the company is active and in good standing.
